Anti-Bribery and Corruption Policy
1. Why it matters
Bribery and corruption can cause serious consequences to the country, its people and the organization in the long-term, all of which are directly against Charoen Pokphand Group’s and Lotuss Stores (Singapore) Pte Ltd (“Lotus’s”) core values. Giving or receiving bribes, whatever their size, is never acceptable and we take a zero-tolerance approach to those involved in bribery, fraud and corruption, which is the strong foundation in how business is conducted sustainably. In all the countries in which we operate, bribery is illegal and is punishable by serious fines and imprisonment. As a business, our reputation is damaged even by allegations of bribery or corrupt practices.
2. Purpose of policy
The purpose of this policy is to set out:
Our minimum expectations for complying with anti-bribery laws; and
The obligation of every Lotus’s business unit and its partners to adopt and implement an effective anti-bribery compliance programme.
3. Scope
This policy applies to colleagues employed by companies that are either majority-owned by Lotus’s or operated by Lotus’s management or C.P. Group of Companies. It applies also to consultants, contractors and agency staff in relation to their work for, or on behalf of, Lotus’s. Companies in which Lotus’s holds a minority stake are expected to implement anti-bribery rules, practices and procedures that are consistent with this policy.
Failure to comply with this policy may result in disciplinary action being taken against any colleagues concerned or the termination of contracts with contractors and other third parties working for Lotus’s.
4. What is Bribery?
This policy defines bribery as offering, promising, giving, accepting or requesting anything of value in order to influence the decision-making of another person. Examples of something that is of value include offers of cash or a cash equivalent, services, offers of employment, charitable donations, political contributions, travel and/or entertainment expenses, meals and gifts. As a general rule of thumb, parties must not offer or accept gifts that may influence business decisions.
5. Third parties and associated persons
An associated person is a third party that performs services for or on behalf of Lotus’s. The definition of an associated person is intentionally broad and includes joint venture partners, subsidiaries and agents of Lotus’s along with contractors, consultants and suppliers if they perform services for or on behalf of Lotus’s. Lotus’s may be guilty if an associated person commits an act of bribery on behalf of Lotus’s, even if Lotus’s was not aware that the associated party had paid the bribe. It is therefore important that adequate due diligence is conducted on third parties before they act on behalf of Lotus’s. 6. Bribing a public official
The bribing of public officials is an offence in most countries. Under the Prevention of Corruption Act (Chapter 241) of Singapore, bribery of both local and foreign public officials is a specific crime. Colleagues and those acting on our behalf must therefore pay particular attention when dealing with public officials. Any activity that constitutes an attempt to bribe a public official, or which may give that impression, is prohibited.
7. Facilitation payments
Facilitation payments are small bribes that are paid to speed up an administrative process, such as the issuing of a permit or licence by a local authority. Such payments are prohibited under this policy, irrespective of where they are given. However, lawful fast-track procedures are acceptable so long as they are open and available to everyone and are never paid directly to the individual.
8. Gifts and Entertainment
Gifts or entertainment that may be construed as bribes or would cause a conflict of interest or damage the reputation of the business are prohibited and must be avoided at all times. The giving of gifts or entertainment to public officials or to their close family members in any country is generally discouraged. 9. Supplier funding of Lotus's events and charitable initiatives
Key principles are that the cost of running a Lotus’s event is borne by Lotus’s and we should never put suppliers or other parties under pressure to buy tickets or provide sponsorship for Lotus’s events.
10. Political and Charitable contributions or donations
As a business, we have no political affiliations and we do not make political donations. We provide support to qualified non-profit organisations in order to improve the overall well-being of the communities in which we operate.

Polisi Anti-Rasuah dan Pencegahan Rasuah
1. Mengapa Polisi ini penting
Sogokan dan Rasuah boleh membawa kesan serius kepada negara, rakyatnya dan organisasi dalam jangka masa panjang, yang semuanya secara langsung bertentangan dengan nilai-nilai teras Charoen Pohphand Group dan Lotuss Stores (Singapore) Pte Ltd (“Lotus’s”) core values. Aktiviti memberi atau menerima rasuah, tidak kira berapa jumlahnya, adalah dilarang sama sekali dan kita mengambil pendirian tegas tidak akan bertoleransi atau berkompromi dengan mereka yang terlibat dalam aktiviti rasuah. Di kesemua negara di mana kami beroperasi, rasuah merupakan perlakuan yang menyalahi undang-undang dan boleh dihukum dengan didenda yang tinggi serta hukuman penjara. Sebagai sebuah perniagaan, dakwaan mengenai rasuah atau amalah rasuah sudah cukup untuk mencemarkan reputasi kita.
2. Tujuan Polisi ini
Polisi ini bertujuan untuk membentangkan:
Jangkaan minimum bagi pematuhan terhadap undang-undang anti-rasuah; dan
Tanggungjawab yang diberikan kepada setiap unit perniagaan Lotus’s dan rakan kongsi untuk menerapkan dan melaksanakan program kepatuhan anti-rasuah yang efektif.
3. Skop
Polisi ini terpakai bagi semua rakan sejawat yang digaji oleh syarikat-syarikat sama ada dimiliki secara majoriti oleh Lotus’s atau dikendalikan oleh pengurusan Lotus’s atau Kumpulan Syarikat C.P (C.P Group of Companies). Polisi ini turut terpakai bagi perunding, kontraktor dan kakitangan agensi berkaitan dengan kerja mereka untuk, atau bagi pihak, Lotus’s. Syarikat-syarikat di mana Lotus’s memegang kepentingan minoriti diwajibkan melaksanakan peraturan, amalan dan prosedur anti-rasuah yang konsisten dengan Polisi ini.
Kegagalan untuk mematuhi Polisi ini mungkin menyebabkan tindakan tatatertib diambil terhadap mana-mana rakan sejawat yang terlibat atau penamatan kontrak bagi kontraktor dan pihak ketiga yang bekerja untuk Lotus’s.
4. Apakah itu rasuah?
Polisi ini mentakrifkan rasuah sebagai langkah menawarkan, menjanjikan, memberikan, menerima atau meminta apa jua yang bernilai untuk mempengaruhi proses membuat keputusan oleh pihak lain. Contoh sesuatu yang bernilai termasuk tawaran wang tunai atau yang bersamaan dengan tunai, perkhidmatan, tawaran pekerjaan, derma amal, sumbangan politik, perbelanjaan perjalanan dan/atau keraian, makanan dan minuman serta hadiah. Sebagai peraturan umum, pihak tidak boleh menawarkan atau menerima hadiah yang boleh mempengaruhi keputusan perniagaan.
5. Pihak Ketiga dan orang-orang yang berkaitan
Orang yang berkaitan adalah pihak ketiga yang melaksanakan perkhidmatan untuk dan bagi pihak Lotus’s. Lotus’s mungkin dianggap bersalah jika orang yang berkaitan melakukan perbuatan rasuah bagi pihak Lotus’s, meskipun Lotus’s tidak mengetahui bahawa pihak yang berkaitan telah memberikan rasuah tersebut. Justeru, usaha wajar yang mencukupi perlu dijalankan terhadap pihak ketiga sebelum kuasa diberikan kepada mereka untuk bertindak bagi pihak Lotus’s.
6. Pemberian rasuah kepada penjawat awam
Pemberian rasuah kepada penjawat awam adalah satu kesalahan di kebanyakan negara di dunia. Di bawah Akta Pencegahan Rasuah (Penggal 241) Singapura [Prevention of Corruption Act (Chapter 241) of Singapore], pemberian rasuah kepada penjawat awam tempatan mahupun asing adalah kesalahan jenayah yang khusus. Oleh itu rakan sejawat dan mereka yang bertindak bagi pihak kita perlu berhati-hati apabila berurusan dengan penjawat awam.
7. Pembayaran pemudahan
Pembayaran pemudahan adalah rasuah kecil yang dibayar untuk mempercepatkan proses pentadbiran, seperti pengeluaran permit atau lesen oleh pihak berkuasa tempatan. Pembayaran sedemikian dilarang di bawah Polisi ini, tidak kiralah di mana pembayaran tersebut diberikan.
8. Hadiah dan Keraian
Hadiah atau keraian yang mungkin dianggap sebagai rasuah atau yang menimbulkan konflik kepentingan atau merosakkan reputasi perniagaan adalah dilarang dan hendaklah dielakkan pada setiap masa. Pemberian hadiah atau keraian kepada penjawat awam atau ahli keluarga mereka secara amnya di mana-mana negara tidak digalakkan.
9. Pembiayaan acara dan inisiatif amal Lotus’s oleh pembekal
Prinsip utama yang ditetapkan adalah bahawa kos untuk mengendalikan acara Lotus’s hendaklah ditanggung oleh Lotus’s dan kita tidak boleh mengenakan tekanan ke atas pembekal atau pihak lain untuk menyediakan penajaan.
10. Sumbangan atau derma Politikal dan Amal
Sebagai sebuah perniagaan kita tidak mempunyai sebarang perhubungan politik dan tidak menyumbang derma politik. Kita menyediakan sokongan kepada organisasi yang layak dan yang tidak meraih keuntungan demi mempertingkatkan kesejahteraan masyarakat setempat di mana kita beroperasi.
